undrift Terms and Conditions

Welcome to undrift, a procurement project management application designed to empower procurement, category, sourcing, and purchasing professionals with task, email, and project automation features to execute savings strategies. By accessing or using undrift (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with these Terms, you may not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using undrift, you acknowledge that you have read, understood, and agree to these Terms, our Privacy Policy, and our Refund Policy. These Terms apply to all users, including individuals, businesses, or other entities accessing the Service.

2. Description of Service

undrift provides a software-as-a-service (SaaS) platform for procurement project management, offering tools for task automation, email integration, and project management to optimize savings strategies. The Service is provided on an "as-is" and "as-available" basis, and we reserve the right to modify, suspend, or discontinue features or the Service at any time without prior notice.

3. Subscription and Payment

Plans: undrift offers monthly and annual subscription plans. Annual plans are paid upfront and offer a discount compared to monthly plans.
Payment: You agree to provide accurate billing information and authorize undrift to charge the applicable fees to your chosen payment method. All payments are non-refundable, as outlined in our Refund Policy.
Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle unless canceled. You may cancel your subscription at any time, but no refunds will be issued for the remaining subscription period.
Price Changes: We may adjust subscription fees at our discretion. You will be notified of any price changes at least 30 days in advance, and continued use of the Service after the change constitutes acceptance of the new fees.

4. Use of the Service

a. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms to use undrift. By using the Service, you represent that you meet these requirements.

b. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately at hello@undrift.email if you suspect unauthorized use of your account.

c. Acceptable Use

You agree to use undrift only for lawful purposes and in accordance with these Terms. You may not:

Use the Service to violate any applicable laws or regulations.
Attempt to reverse-engineer, decompile, or otherwise access the source code of undrift.
Use the Service to transmit malicious code, viruses, or harmful content.
Engage in any activity that disrupts or interferes with the Service or its availability to other users.

5. No Liability for Use of the Platform

Use at Your Own Risk: You acknowledge that your use of undrift is at your sole risk. undrift is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
No Liability: To the fullest extent permitted by law, undrift, its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to errors, interruptions, loss of data, or financial losses.
Hold Harmless: You agree to indemnify, defend, and hold harmless undrift, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

6. Intellectual Property

undrift Property: All content, features, and functionality of the Service, including software, designs, logos, and trademarks, are the exclusive property of undrift or its licensors and are protected by intellectual property laws.
User Content: You retain ownership of any data, content, or materials you upload to undrift ("User Content"). By uploading User Content, you grant undrift a worldwide, non-exclusive, royalty-free license to use, store, and process such content solely to provide and improve the Service.
Feedback: Any feedback, suggestions, or ideas you provide about undrift may be used by us to improve the Service without any obligation to compensate you.

7. Data and Privacy

Your use of undrift is subject to our Privacy Policy, which outlines how we collect, use, and protect your data. undrift does not sell your data to third parties, and we implement reasonable measures to secure your information, as described in the Privacy Policy.

8. Termination

By You: You may terminate your account at any time by canceling your subscription through the undrift platform or by contacting support@undrift.com. No refunds will be issued for any remaining subscription period.
By undrift: We may suspend or terminate your access to the Service at our discretion, with or without notice, if you violate these Terms, engage in unlawful activity, or for any other reason deemed necessary to protect the Service or other users.
Effect of Termination: Upon termination, your access to undrift will cease, and we may delete your account data, subject to our data retention policies outlined in the Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, undrift’s total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to undrift in the twelve (12) months preceding the claim. In jurisdictions where liability limitations are not permitted, our liability shall be limited to the fullest extent allowed.

10. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Virginia, United States, without regard to its conflict of law principles.

No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. undrift may assign these Terms without restriction.
